PART 7 : OTHER PROVISIONS



    7.1 BY-LAWS’ MODIFICATIONS

    The by-laws can only be modified at the annual general assembly and by a vote of 2/3 of members present.
    Any proposal to modify the by-laws shall be submitted to the Board of Directors at least 30 days before the annual general assembly.

    7.2 CONFLICT OF INTEREST

    Any member or director shall, upon request from the assembly, after having expressed his views, withdraw at the time of deliberation on a topic in which he is personally interested or involved.

    7.3 MEMBER RESIGNATION

    Any member can resign by giving a written notice to the Association’s secretary.

    7.4 SUSPENSION

    The Board of Directors may suspend for a cause an official member after having made known in writing the reasons behind the suspension and given him an opportunity to be heard by the Board of Directors and at the general assembly. 7.5 DISSOLUTION

    Notwithstanding Section 7.1 of the by-laws and subject to the requirements of the law, of the patent letters and of the by-laws, any discussion or resolution pertaining to the merger, the liquidation or the dissolution of the Association is the responsibility of the general assembly and requires the consent of 75% of the official members gathered in general assembly.

    In case of dissolution, the Association’s assets will be donated to a corporation, a charitable organization or an institution having similar objectives.
